THE LEGAL WELL – TENDER LEGAL PACKAGE TERMS & CONDITIONS

1. INTRODUCTION

These Terms and Conditions govern the provision of services by The Legal Well (“the Service Provider”) to the subscribing client (“the Client”) in respect of the Tender Legal Packages.

By subscribing to any package, the Client acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions.

2. SERVICE DESCRIPTION

The Legal Well provides:

• Tender notifications sourced from various public and private platforms across South Africa
• Tender summary information
• Tender application assistance (based on selected package)
• Legal support services as included in the selected package

The services are support-based and administrative in nature.

3. PACKAGE STRUCTURE

• Tender Legal Premium – R599 per month
• Tender Legal Pro – R799 per month
• Tender Legal Elite – R999 per month

Each package includes specific benefits and limitations as communicated at the time of subscription.

4. COMMENCEMENT OF SERVICES

4.1 Services will commence upon successful activation of the Client’s subscription.

4.2 The Client acknowledges and agrees that:

• The Legal Well shall have up to fourteen (14) working days from the date of the first successful debit order to provide the first set of tender notifications and initiate services.

5. TENDER NOTIFICATIONS

5.1 Tender notifications are sourced from multiple platforms and distributed based on the Client’s selected industry/category.

5.2 The Legal Well shall make reasonable efforts to ensure relevant and accurate tender information.

5.3 However, the Client acknowledges that:

• Tender information is dependent on third-party sources
• Information may change, be withdrawn, or be amended without notice

6. NO GUARANTEE OF SUCCESS

The Legal Well does not guarantee:

• The awarding of any tender
• The success of any application
• The accuracy or completeness of third-party tender information
• Acceptance of submitted documents

The services provided are strictly administrative, advisory, and supportive in nature.

7. CLIENT RESPONSIBILITIES

The Client bears full responsibility for:

• Providing accurate, complete, and up-to-date information
• Supplying all required compliance documents
• Ensuring all documentation is valid and current

The Legal Well shall not be held liable for any loss, delay, or rejection resulting from:

• Incorrect or incomplete information provided by the Client
• Failure by the Client to provide documents timeously

8. TENDER APPLICATIONS

8.1 Tender application assistance will be provided according to the Client’s selected package.

8.2 The Client acknowledges:

• The Legal Well requires sufficient time and complete documentation to prepare applications
• Applications are prepared based on information provided by the Client

8.3 Late Requests:

Should a Client request a tender application too close to the closing date, or provide documentation late, The Legal Well reserves the right not to proceed with the application.

8.4 In such instances:

• The tender will not be submitted or processed
• The Legal Well shall bear no liability for missed opportunities

9. SUBMISSION RESPONSIBILITY

Unless expressly agreed otherwise in writing:

• The submission of tender documents remains the sole responsibility of the Client

The Client is responsible for:

• Meeting all submission deadlines
• Ensuring correct delivery method (hand delivery, email, portal)
• Attending compulsory briefing sessions

The Legal Well shall not be liable for:

• Missed deadlines
• Failed submissions
• Incorrect submission procedures

10. PAYMENT TERMS

• All packages are billed monthly via debit order or agreed payment method
• Services are subject to successful monthly payment

In the event of failed debit orders or non-payment, The Legal Well reserves the right to suspend or terminate services immediately.

11. CANCELLATION POLICY

• All subscriptions are on a month-to-month basis
• The Client may cancel by providing thirty (30) days written notice
• Services continue during the notice period and fees remain payable
• No refunds for partially used months or services already rendered

12. LIMITATION OF LIABILITY

• The Legal Well shall not be liable for any direct or indirect financial loss
• Loss of business opportunities or rejection of tenders
• Errors originating from third-party platforms

The Client indemnifies The Legal Well against any claims arising from use of the services or reliance on tender information.

13. DATA & CONFIDENTIALITY

• All Client information shall be treated as confidential
• Used only for service delivery or where required by law

14. POPIA COMPLIANCE

• The Client consents to the processing of personal information
• The Legal Well undertakes to protect and not misuse data

15. GENERAL

• These Terms constitute the full agreement
• The Legal Well may amend terms with reasonable notice
• Continued use constitutes acceptance of changes
